VMware seeks to add a highly-talented individual to its Global Legal Services (?GLS?) Team, supporting the company’s commercial sales business and other divisions of the legal department within VMware. Preferably, this Senior Contracts Manager position will be based in the Eastern Time Zone. That said, the GLS Team is currently working remotely from various locations around the world. While the primary job responsibility is negotiation & transactional support to our U.S. customers, you will form part of a new and growing team of Contract Managers and Negotiators working collaboratively with our Commercial Legal Group (?CLG?) Attorneys, Global Commercial Programs Legal Team (?GCPLT?), Sales organization, Deal Management Team, Finance, and the various Business Units in the U.S. and globally to ensure best-in-class, seamless support to our customers, partners, and third-party vendors. Individuals applying for this job: (i) are comfortable working independently with a high degree of autonomy; (ii) are willing to collaborate extensively with their team members to support transactions and to look for opportunities to optimize how we operate to scale support; (iii) display an aptitude for digging into problems and finding creative solutions; and (iv) have strong critical and strategic thinking skills.
Draft, review, and negotiate a broad range of agreements, with a focus on cloud services and SaaS, but including software license, support, professional services agreements, data privacy addendums, and security agreements. Advise on all aspects of those commercial transactions, including finance and business considerations.
Collaborate and partner effectively with the CLG Attorneys, GCPLT, Business Units, Sales organization, Finance and Deal Management Team.
Assist executives, Sales professionals, and other members of the Legal Department with matters relating to our standard contract templates and agreements already in place with customers.
Regularly contribute to and refine legal templates, playbooks, and guidance documents. Support department-wide efforts to organize, manage, and archive contracts and agreement templates.
Participate in special projects within the Legal Department to develop, implement and enhance processes and policies that improve transaction velocity, efficiency, and standardization without material increase in risk.
Act as a fiduciary for the company in driving compliance in day-to-day sales activities.
Provide training and counseling to other members of the GLS Team, CLG Attorneys, GCPLT, Sales professionals,etc.Coordinate with other groups within the global Legal Department on compliance matters.
